When Elon Musk (pictured, top) launched his attack on Twitter in April this year, it might have seemed like a typically eccentric project. From nowhere, the Tesla and Space X founder became the social network’s biggest shareholder and immediately started pressuring the board to make changes to increase freedom of speech on the platform, and to reduce what he saw as the censoring of right-wing voices. Immediately, Twitter’s share price rocketed by 12% and other shareholders started taking notice.
Its founder, Jack Dorsey, seemed to support Musk against the existing shareholders. The entire episode might have seemed like just another example of Musk’s brand of attention-grabbing, norm-breaking exhibitions. This is a man, after all, who named a child X Æ A-12.
To more astute observers, Musk’s behaviour was nothing out of the ordinary at all, but rather a high-profile and slightly lurid example of a tactic that is becoming ever more common.
The tactic of buying a chunk of shares and attempting to affect change in a company by putting pressure on the board is the stock-in-trade of activist investors. In a nutshell, activist investors identify underperforming companies, buy shares to gain a voice and then suggest to other shareholders ways in which they might be improved.
If they are able to persuade enough shareholders that their ideas are right, then they can force through those changes. If they get it right, they will be able to increase the firm’s share price and dividend payments, and turn a healthy profit.
Among the best-known activist investors are Elliott Associates, Third Point Partners, Cevian Capital and Clearway Capital. They might not be household names but the firms that they target often are. Right now, companies such as pharma giant GSK, consumer goods manufacturer Unilever, insurance firm Aviva, food delivery company Just Eat and publishing house Pearson are dealing with the fallout from activist investors targeting their businesses. As Covid recedes, UK firms are increasingly on the radar for activist investors. If you are in senior management at a large UK business, you could well be in the crosshairs sooner than later.
According to research by law firm Lazard, the first quarter of 2022 was the busiest for activist investing on record, with 73 campaigns launched globally. In 2021, 42% of all European activist investor campaigns involved UK companies, way above Germany and the Netherlands, which were joint second on 12%. 2021 saw the return of Elliott to activity in Europe following a Covid-inspired lull – the firm accounted for 18% of European campaigns, mainly focused on large-cap companies and the healthcare sector. In 2021, US activity increased from 2020, representing 55% of global campaigns and 49% of global capital deployed, but remained below historical levels as Europe has become a greater share of global activity.
This could just be the beginning. Recent research by management consultant Alvarez and Marsal has called this a “golden age” for activist investment in Europe, and described the UK as the “most attractive target” in a “target-rich environment”. It calculated that 148 companies are at risk of activist investor attacks in 2022, with a third of these in the UK, including 21 large corporates.
Why? The fallout from the pandemic, Brexit and supply-chain disruption have combined to mean UK companies are facing more change than others. But there are also long-term, structural reasons. The UK is home to lots of large, sluggish corporates that are ripe for turnarounds by new, more dynamic owners.
In governance terms, UK firms are fairly similar to US ones and because most of the activist investor funds are American, they find it relatively easy to turn their attention to UK companies. UK corporate governance is also fairly shareholder-friendly, with annual director elections. They tend not to have large blocks of shares tied up in family ownership, as is the case in many continental European countries, or have complex voting arrangements with regional governments or blocs representing workers, as is sometimes the case in Germany.
UK firms have lower price-to-earnings ratios than comparable companies in other countries, which makes them targets for private equity-backed takeovers. This gives activists an opportunity to get involved and persuade shareholders that they ought to be demanding higher prices, something known as “bumpitrage”. This is particularly the case in the consumer sector, as people start going out and buying clothes, luxury goods and going out for meals, movies and other experiences again after lockdowns.

Accept that they are very serious. Before they take a position in your company, an activist investor will have invested millions of pounds and spoken to perhaps 100 employees, former employees and others in your industry. Probably they have been monitoring it closely for years. They might have invested 5-10% of all their assets under management in a deal, and clearly believe that the profit they stand to make is greater than the amount they have spent on buying the shares. They are not making a speculative bid.
Act quickly. Research by Ellen He, presidential fellow at Alliance Manchester Business School, has found that activist investors and people who run mutual funds tend to share social ties and have probably already talked about the deal informally. Those with the most social ties and informal information exchanges tend to be the most successful. You might be the last to hear about the deal, so you have some catching up to do.
Work out a proposal ASAP. Alliance Manchester’s He has also found that whoever is first to make a presentation to shareholders often wins. The activist will be prepared, so as a manager you need to work out your strategy and call the relevant people quickly.
Identify the key shareholders who are likely to back the activist. Most activist investors are American, and they will tend to target American shareholders first. If you have large US-based shareholders, get on the phone to them.
Evaluate the proposals. Yes, activists often have a point. If they do, then you have to acknowledge it and argue that you are the person to implement change. But on the flip side, they are not always right. If their aim is to quickly inflate the share price and sell, then their proposals might not be in the long-term interests of the company. If shareholders are also in for the long term, then the proposals might not align with the activist’s.
Don’t panic. Yes, the activists might be aggressive and there might be a dramatic immediate jump in share price – especially if the activist is well known – but they can only force through their proposed changes if other shareholders agree with them. By working together, it can be a win-win situation.

Another peculiarity of the UK that makes its firms tempting to activists is that companies tend to have several large, long-termist and very passive shareholders who are focused on receiving dividends. This can make management conservative. It means that shareholders don’t necessarily hold management to account as they should, and an activist really only has to persuade a small number of people to support their ideas in order to marshal a large chunk of the shares to their side. When they get involved in UK firms, activists tend to improve communications and strategy – and, in the case of larger, conglomerate-style businesses, sell off underperforming arms.
That might sound scary, but it is not necessarily a bad thing for a company. Traditionally, activist investors have been seen as fly-by-nights who do not care about the long-term health of the company, but want to “pump and dump” – boost the share price and then sell their holding as soon as possible. While it is true that the corporate world has been good at painting activist investors as “barbarians at the gate”, as the first wave of private equity firms in the 1980s were known, the image is not entirely correct.
Harlan Zimmerman, a senior partner at activist investment firm Cevian and a doyen of the activist investing world, says that there are two different approaches, which he calls “attactivist” and “constructivist”. The former is short-termist and aggressive, while the latter aims to “invest in a public company with a tangible plan to make that company more competitive, more profitable, more sustainable and thus, over time, more valuable for shareholders and other stakeholders”.
The constructivists’ approach is about being a “catalyst” to bring about change, Zimmerman says. Research suggests that the trend towards constructivism is on the up. Lazard showed that in 2021, activists’ average holding period grew by 18% in Europe as they “sought longer-term value creation and greater returns”, a trend they believe is set to continue.
“Activist investors are broadly good news for society and the economy,” says Tom Gosling, an executive fellow of finance at London Business School who enjoyed a long career at consultant PwC and has seen many activist investor campaigns from different angles.
“I think the public perception and, to some degree, the policymaker and corporate perception of activist investors is pretty negative. But, actually, it’s one of the few areas where there’s a reasonable degree of academic consensus that, on average, they deliver good outcomes,” he says.
A series of papers looking at activist investors by Alon Brav and Wei Jiang found that on most metrics, being targeted by activist investors benefits companies. Not only do the short- and long-term share prices increase but plant-level productivity increases and more patents are filed – by most metrics, being targeted leads to an improvement.

Aggressive US activist Elliott Management took a stake in British pharmaceuticals firm GSK in early 2021, criticising its focus on consumer goods rather than developing new blockbuster drugs which, Elliott argues, could lead to greater future profits. GSK has agreed to sell off its consumer healthcare business (it owns brands including Sensodyne toothpaste and Advil painkillers) and use the expected £7bn profit to make acquisitions that will help it develop drugs.
Unilever, the consumer goods company behind brands like Ben & Jerry’s ice cream, Hellmann’s mayonnaise and Domestos, came under attack from investor Nelson Peltz’s Trian Partners in 2021. Under Peltz’s pressure, it now plans to lay off 15% of its senior managers (15,000 people), reorganise its business into five groups to make performance more transparent, focus on healthy lifestyles and build a portfolio of plant-based meat and dairy alternative brands. A $3bn share buyback should also placate grumpy investors.
Activist Cevian Partners took a 5% stake in insurance giant Aviva in 2021 and argued that shareholders should be getting more from their investment, following the new CEO Amanda Blanc selling off overseas businesses for £7.5bn. She has now said all the money will be returned to investors. Following a £1bn share buyback, Aviva has now announced that a further £3.75bn will be returned via a B-shares scheme. The dividend is also being steadily increased.
Food delivery firm Just Eat has been accused of destroying value by US activist Cat Rock Capital. The firm, whose 7% stake makes it the second-largest shareholder after founder Jitse Groen, called for a new finance chief and board. Just Eat’s share price had fallen 75% in a year and issued two profit warnings. To placate investors, Just Eat agreed to sell US business Grubhub, which it bought for £5.8bn in 2019. Cat Rock believed the acquisition of this business was a costly mistake and that Just Eat should just concentrate on its European business. The firm fought back by saying that dramatic boardroom changes would be “value destructive and destabilising”.

More recent UK research has also found that activist investors have a positive effect on businesses. A 2017 paper by Nickolay Gantchev, professor of finance at Warwick Business School, and others found that after being targeted by activist investors, “empire building” operations get better at buying and selling businesses, avoiding ones that are far from their core competency, refrain from getting involved in merger waves and sell more companies. Activists also tend to remove egotistical empire-building chief executives and improve efficiency.
One of the most interesting findings is that activism doesn’t just improve things at the targeted firm, argues Gantchev in another paper, but that there is a “white blood cell” effect on other companies in the same sector as they pre-emptively make changes as they strive to avoid becoming targets of activists themselves. It seems that, like other much-feared or derided actors in the financial system such as hedge funds and short-sellers, they might be portrayed as piratical but you can argue they are a valuable source of checks and balances, identifying weak businesses and making them stronger.
Another emerging story around activist investing is that they increasingly target firms over ESG (environmental, social and governance) practices. For example, in early 2022 the private equity legend Carl Icahn attacked both fast-food chain McDonald’s and supermarket operator Kroger over practices in their supply chains that he saw as cruel, accusing them of hypocrisy over their public ESG commitments.
“If the ESG movement is to be more than a marketing concept and fundraising tool, the massive asset managers who are among McDonald’s largest owners must back up their words with actions,” thundered Icahn.
The investor, who is said to have been one of the inspirations for the character Gordon Gecko in the film Wall Street and who has previously attacked management at firms such as Netflix and Dell, only has 200 shares in McDonald’s. Although he ultimately lost his bid to get two new directors on the restaurant chain’s board, he proved that an activist investor does not have to have a large shareholding to make big waves.

Controversial Japanese investor Masa Son saw off an attack by Elliott Management after the fund took a position in Son’s SoftBank following disastrous investments in co-working space company We Work, and problems with its bets on the Chinese tech sector, which led to an $18bn loss. Elliott demanded share buybacks for investors. Son announced a $20bn buyback in March 2020, but opposed other Elliott suggestions. The activist has since drastically reduced its position – though not before making an estimated $500m profit.
The recent attack on GSK was largely focused on chief executive Dame Emma Walmsley saying that as a non-scientist she was the wrong person to lead the pharmaceutical giant. She seems to have weathered the storm so far, by agreeing to many of the shareholders’ demands. However, Walmsley is not out of the woods yet, though – shareholders have recently criticised her £8.2m pay packet.
During lockdowns in 2021 demand for Peloton’s cycle machines surged, and at one point the company was valued at close to $50bn. Founder and CEO John Foley looked like a visionary. However, since gyms reopened the tech no longer seems so appealing, revenues are plunging and its valuation has fallen to less than 10% of its peak. Activist Blackwell’s Capital bought a 5% stake and around 2,800 staff lost their jobs, including Foley after 10 years at the helm. Former Netflix and Spotify CFO Barry McCarthy is now running the company, and a sale to Apple or Nike has been mooted.
PepsiCo chairman and CEO Indra Nooyi saw off a concerted effort by Trian to break it up in 2012, when the activist said it ought to merge with Mondelez (formerly the Cadbury Group, which Trian also owned a stake in). When that failed, Trian tried to get PepsiCo to separate its drinks and snacks businesses. That also failed, and Trian walked away in 2016. It wasn’t a total failure, though: the activist made a healthy 50% profit on its $2bn investment.

Icahn’s intervention may have come to nothing, but other activists are putting their money where their mouth is. In 2021 a previously little-known fund called Engine Number One spent $40m – a pittance in activist investing terms – to buy a 0.02% share in energy giant Exxon, and used its leverage to force three of its preferred candidates on to the board with the aim of forcing it to better prepare for the transition to a low-carbon economy.
Interestingly, both Icahn and Engine Number One’s founder, Christopher James, said their actions were sparked by conversations with their children, suggesting we might see more of this type of activism in the future. Fresh from its success at Exxon, Engine Number One is now trying to persuade automaker GM to completely switch to electric vehicles.
It is notable that Engine Number One has focused its campaigns not specifically on environmental issues but on profitability, arguing that Exxon will be left behind if it does not act sooner. Similar arguments are being made by other activists. Bluebell Capital Partners is trying to get chemicals manufacturer Solvay to initiate a review of its environmental policies and commodities trader Glencore to spin off its coal business in order to increase its valuation. Impactive Capital is pressuring Asbury Automotive Group to increase its workforce diversity. And Third Point is trying to force Shell to split its refining and renewables businesses to increase their values.
Lazard says that corporates with poor environmental and social records are more likely to be targeted by activists, and the number of “E” and “S” campaigns increased 2.5 times between 2018 and 2021.
In fact, having poor E&S means that once an activist attacks a firm for financial reasons, they are more likely to face a secondary attack for ESG reasons. Amazingly, in 2021 this happened to 37% of companies that were initially targeted for financial reasons. It is not hard to imagine situations where financial imperatives align with ethical ones. Activist investor Clearway recently targeted French energy major TotalEnergies to stop buying oil from Russia following the invasion of Ukraine.
There are also early signs that activists in the campaigning sense might also see investing as a more effective way to affect change at companies than protesting outside their front doors. A US non-profit group called As You Sow aims to “harness corporate responsibility and shareholder power to create lasting change”, and is focused on addressing “gender inequalities, workplace equity, environmental health and more”.
In fact, this is not exactly new. As You Sow was founded in 1992 and during its existence has used shareholder pressure to force Exxon to publish a report on its “carbon asset risk”, Unilever to commit to making all its packaging recyclable by 2025 and food processing giant General Mills to introduce regenerative agriculture on one million acres of farmland by 2030.
Of course, there is an elephant in the room here. Activist investing might be good for the economy and the planet, but there is one group that it is probably not good for: senior managers, especially CEOs. “On the whole, activists create value by bringing about change. And if you’re the CEO, then sometimes that change might be you,” says Gosling.
In 2020, the last full year for which there are records, the CEO changed at 22% of targeted companies in the UK and European Union within six months of the campaign being launched, according to Lazard. It is important to bear in mind that there is generally high CEO turnover anyway, but it is not hard to imagine that activist investor interest might prove a trigger to move a CEO on.
That said, the more likely changes are not in senior management but in the board. This is why it is important for senior management to ensure they have multiple allies on the board. Indeed, misalignment between board and management can contribute to activist interest because it shows something may be wrong and they can drive a wedge into that gap.
So which companies will be next in the firing line? Malcolm McKenzie of Alvarez and Marsal says: “Parts of the consumer sector, like physical retail, have been largely overlooked by activists in recent years due to structural challenges. The prospect of a consumer-led recovery from the pandemic means that activists will likely find more opportunities in traditional ‘bricks and mortar’ retailers as we move through 2022.”
Other target sectors include the healthcare industry, which is seen as underperforming in terms of profits; and activists see a potential for demerging and relisting in the technology sector. Banking, too, is vulnerable.
As the global economy comes roaring back to life after Covid, capital is looking for a return and the people who manage the money are scouting for sluggish companies that are slow to adapt to the new realities. For the big money, the UK is the top target. So for leaders, complacency is not an option.
